Terms of Service

These Terms of Service ("Terms") are an agreement between you ("you," "your," or "Customer") and BrownCo Power Solutions LLC ("BrownCo," "we," "us," or "our") governing your access to and use of ShopFlow (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ShopFlow is a cloud-based shop-management application that provides tools such as work orders, invoicing and PDF receipts, a time clock with labor calculation, inventory, customer and equipment records, and accounting with sales tax. We may add, change, or remove features over time. The Service is currently offered on a tiered basis (including a free tier), and portions may be in a pre-release or "alpha" state.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity that occurs under your account. 3. Plans, fees, and billing

  • Free tier. The ShopStarter plan is offered at no charge, subject to these Terms and any usage limits we set.
  • Paid plans. Paid plans are offered on either a monthly or an annual billing cycle, charged in advance through our third-party payment processor: ShopForeman is $50/month or $500/year, and Shop+ is $100/month or $1,000/year. Annual plans are billed once per year and provide a discount equivalent to two months versus paying monthly.
  • Auto-renewal. Paid subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) at the then-current price until cancelled.
  • Cancellation. You may cancel at any time; cancellation stops future charges and access continues through the end of the current paid period.
  • Refunds. Except where required by law, fees are non-refundable.
  • Changes to pricing. We may change prices with reasonable advance notice; changes apply to the next billing period.
  • Taxes. You are responsible for any applicable taxes other than taxes on our net income.

4. Your data and content

You own your data. As between you and BrownCo, you retain all rights to the shop records, customer information, and other content you enter into the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service.

You are responsible for the Customer Data you enter, including having the necessary rights and consents to store information about your own customers, and for using the Service in compliance with applicable laws. Our handling of personal information is described in our Privacy Policy.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Upload malware or attempt to disrupt, probe, or gain unauthorized access to the Service or its infrastructure;
  • Reverse engineer, resell, or sublicense the Service except as permitted by law;
  • Infringe the intellectual property or privacy rights of others; or
  • Use the Service to store or transmit content you do not have the right to store or transmit.

We may suspend or terminate accounts that violate these Terms.

6. Third-party services

The Service relies on third-party providers, including Supabase (hosting, database, and authentication), Google (optional sign-in), and a payment processor for billing. Your use of those integrations may also be subject to their terms. We are not responsible for third-party services outside our control.

7. Intellectual property

The Service, including its software, design, and the ShopFlow name and logo, is owned by BrownCo and protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks or software except the limited right to use the Service as described here.

8. Availability, alpha status, and changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. During any alpha or pre-release period in particular, features may change or contain bugs, and data continuity is not guaranteed. We recommend keeping your own backups of critical records.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED. ShopFlow is a record-keeping tool and does not provide legal, tax, or accounting advice; you are responsible for your own tax and regulatory compliance.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROWNCO AND ITS OWNERS AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless BrownCo from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we discontinue the Service. Upon termination, your right to use the Service ends. We will make your Customer Data available for export for a reasonable period after termination, after which it may be deleted as described in our Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Georgia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date and provide reasonable notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
